Conditions applicable to the professional services provided by VIRALIS.

01 — Purpose
These terms govern the strategy, content creation and social media management services provided by VIRALIS to professional clients.
02 — Scope
They apply to every order unless specific conditions are agreed in writing by both parties.
03 — Definitions
Provider: VIRALIS. Client: the signing legal entity. Deliverables: photo, video, written content and reports produced during the engagement.
04 — Contractual documents
The signed quotation, these terms and any specification document form the contract. In case of conflict, the quotation prevails.
05 — Quotation and order
Each engagement is covered by a detailed quotation. The order is firm once the quotation is signed by an authorised person.
06 — Contract duration

14 — Travel and shoots

15 — Image rights
The client warrants that it has obtained image-rights consent from people filmed or photographed on its premises.
16 — Approval of deliverables

18 — Publishing
Content is published according to the agreed calendar and the access provided by the client.
19 — Intellectual property

VIRALIS may name the client as a reference and show excerpts of the work produced, unless the client objects in writing.
21 — Confidentiality
Each party undertakes not to disclose confidential information exchanged during the engagement.

Data processing is described in the privacy policy. Both parties comply with the GDPR.
23 — Subcontracting
VIRALIS may use specialist providers (shooting, editing, motion design) while remaining responsible for the service.
24 — Results and performance
Social media performance depends on many factors. VIRALIS guarantees no specific figures, no ranking and no revenue volume.
25 — Reporting
A monthly report presents the available indicators and the related recommendations.
26 — Liability

27 — Insurance

28 — Force majeure
Neither party is liable for a failure resulting from an event of force majeure under applicable law.
